Terms of Service

PLEASE READ THESE TERMS OF SERVICE CAREFULLY

These Terms of Service ("Agreement") govern your use of the AuraConnect platform and services provided by AuraChat.AI ("Company," "we," "us," or "our"). By creating an account, accessing, or using AuraConnect, you ("Customer," "you," or "your") agree to be bound by these terms.

 

1. SERVICE DESCRIPTION

1.1 AuraConnect Platform

AuraConnect is a comprehensive SaaS platform that provides:

  • Proprietary AI ecosystem developed exclusively for sales and customer service.

  • AuraLink® Technology: Our distributed intelligence system that eliminates AI hallucinations.

  • Omnichannel AI Agents: 24/7 customer service across 10+ communication channels.

  • AuraIntelligence®: Competitive monitoring tracking 250+ data points.

  • Integrated Modules: AuraCRM™, AuraMarketing™, AuraSEO™, AuraReviews™, AuraSocial™, AuraIntelligence™, and InteractionIQ™.

  • Multiple Integrations: CRMs, calendars, and business systems

1.2 Service Availability

AuraConnect is available to customers in the United States, Mexico, and other countries in Latin America. Services may be expanded to additional territories at our discretion.

1.3 Account Requirements

To use AuraConnect, you must:

  • Be at least 18 years old or the age of majority in your jurisdiction.

  • Provide accurate and complete registration information.

  • Maintain the security of your account credentials.

  • Comply with all applicable laws and regulations.

 

2. SUBSCRIPTION TERMS

2.1 Subscription Plans

We offer various subscription tiers with different features and usage limits. Current pricing and plan details are available on our website and in your account dashboard.

2.2 Billing and Payment

  • US Customers: Billing in US Dollars (USD)

  • Mexico Customers: Billing in Mexican Pesos (MXN) or USD

  • LATAM Customers: Billing in USD

  • Subscription fees are billed in advance on a monthly or annual basis

  • Payment is due immediately upon subscription or renewal

  • We accept major credit cards and other payment methods as displayed during checkout

2.3 Subscription Changes

You may upgrade, downgrade, or modify your subscription at any time. Changes take effect at the next billing cycle unless otherwise specified.

2.4 Cancellation

You may cancel your subscription at any time. Upon cancellation:

  • You retain access until the end of your current billing period

  • No refunds for partial months or unused portions of annual subscriptions

  • Your data will be retained according to our Privacy Policy and data retention procedures

2.5 Free Trials

Free trial periods, if offered, are limited to one per customer. Trial limitations and conversion terms will be clearly disclosed.

 

3. ACCEPTABLE USE

3.1 Permitted Use

You may use AuraConnect for legitimate business purposes in compliance with all applicable laws and these Terms.

3.2 Prohibited Activities

You agree not to:

  • Use the platform for illegal, harmful, or malicious activities

  • Attempt to reverse engineer, hack, or compromise our AI models or systems

  • Share, sell, or distribute your account access to unauthorized parties

  • Upload or transmit malware, viruses, or harmful code

  • Violate intellectual property rights of any party

  • Send spam or unsolicited communications through our platform

  • Use the service to compete with or create competing products

  • Overload or attempt to disable our systems

  • Violate any applicable anti-corruption, export control, or sanctions laws

3.3 Content Standards

All content transmitted through AuraConnect must comply with applicable laws and must not contain:

  • Illegal, defamatory, or infringing material

  • Hate speech, harassment, or discriminatory content

  • Personal information of individuals without consent

  • Confidential information you're not authorized to share

3.4 AI Model Usage

Our AI models and AuraLink® technology are proprietary. You may not:

  • Attempt to extract, copy, or replicate our AI models

  • Use our AI responses to train competing AI systems

  • Reverse engineer our AuraLink® distributed intelligence system

  • Access our systems through unauthorized APIs or methods

4. DATA AND PRIVACY

4.1 Customer Data

You retain all rights to your customer data. We process your data solely to provide AuraConnect services as outlined in our Privacy Policy and Data Processing Agreement.

4.2 Data Security

We implement industry-standard security measures to protect your data, including:

  • Encryption in transit and at rest

  • Regular security audits and assessments

  • SOC2 Type 2 compliance (in progress)

  • GDPR and CCPA compliant data handling

4.3 Data Location

  • US Customers: Data primarily stored in US-based data centers

  • Mexico Customers: Data may be stored in US or Mexico-based facilities

  • Cross-border data transfers comply with applicable privacy laws

4.4 Third-Party Integrations

When you connect third-party services, you authorize us to access and sync data according to the permissions you grant. Each integration operates under its own terms and privacy policies.

4.5 Data Processing Agreement. The DPA is effective as of the date specified above and forms an integral part of the AuraConnect Terms of Service.

5. INTELLECTUAL PROPERTY

5.1 Our Intellectual Property

AuraConnect, AuraLink®, AuraIntelligence®, and all related technology, trademarks, and content are our exclusive property. This Agreement grants you only a limited license to use our services.

5.2 Customer Content

You retain ownership of all content you submit to AuraConnect. You grant us a limited license to use your content solely to provide our services.

5.3 Feedback and Suggestions

Any feedback, suggestions, or ideas you provide about AuraConnect become our property and may be used without compensation or attribution.

5.4 AI Model Improvements

We may use aggregated and anonymized usage data to improve our AI models, provided such use complies with our Privacy Policy and applicable law.

 

6. WARRANTIES AND DISCLAIMERS

6.1 Service Warranty

We warrant that AuraConnect will perform substantially as described in our documentation. Our sole obligation for any breach is to correct the non-conforming service or, if we cannot, to terminate your subscription and refund unused fees.

6.2 Disclaimers

EXCEPT AS EXPRESSLY STATED, AURACONNECT IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6.3 AI Accuracy

While AuraLink® technology minimizes AI hallucinations, we do not guarantee 100% accuracy of AI responses. You are responsible for reviewing and verifying AI-generated content before use.

 

7. LIMITATION OF LIABILITY

7.1 General Limitations

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO AURACHAT.AI AND/OR AURACONNECT.AI SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

7.2 Excluded Damages

WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

7.3 Mexico Consumer Protection

For Mexico customers, these limitations comply with Federal Consumer Protection Law (PROFECO) and do not limit liability for gross negligence or intentional misconduct.

7.4 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, or network failures.

 

8. INDEMNIFICATION

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

  • Your use of AuraConnect in violation of these Terms

  • Your violation of applicable laws or third-party rights

  • Your content or data submitted to the platform

  • Your negligent or willful misconduct

 

9. TERMINATION

9.1 Termination by You

You may terminate your subscription at any time by canceling through your account dashboard or contacting support.

9.2 Termination by Us

We may suspend or terminate your account if you:

  • Violate these Terms or our Acceptable Use Policy

  • Fail to pay fees when due

  • Engage in fraudulent or illegal activities

  • Present a security risk to our platform or other customers

9.3 Effect of Termination

Upon termination:

  • Your access to AuraConnect will cease

  • We will retain your data according to our Privacy Policy

  • You may export your data within 30 days of termination

  • Our respective rights and obligations survive as applicable

 

10. DISPUTE RESOLUTION

10.1 Informal Resolution

Before filing any claim, you agree to contact us to attempt informal resolution. We will respond within 30 days.

10.2 Mexico Customers

Disputes involving Mexico customers will be governed by Mexican law and resolved in Mexico City, Mexico courts or through CANACO arbitration procedures.

10.3 US Customers

Disputes involving US customers will be resolved through binding arbitration under the American Arbitration Association Commercial Rules, except for intellectual property claims which may be brought in federal court.

10.4 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class action lawsuits.

 

11. GENERAL PROVISIONS

11.1 Governing Law

  • Mexico Customers: Mexican federal law governs this Agreement

  • US Customers: Delaware state law governs this Agreement

11.2 Severability

If any provision is found unenforceable, the remainder of these Terms remains in effect.

11.3 Assignment

You may not assign this Agreement without our written consent. We may assign our rights and obligations at any time.

11.4 Notices

We may provide notices through your account dashboard, email, or postal mail. You must keep your contact information current.

11.5 Entire Agreement

These Terms, together with our Privacy Policy and Data Processing Agreement, constitute the entire agreement between us.

11.6 Modifications

We may modify these Terms by posting updated versions on our website. Material changes will be communicated with 30 days notice.
